Terms of Service

1. Agreement to terms
These Terms of Service ("Terms") govern your access to edusparkco.pro (the "Site") operated by EduSpark Inc. ("EduSpark," "we," "us," "our"), a corporation registered in Ontario, Canada, with its principal office at 180 John Street, Suite 200, Toronto, ON M5T 1X5. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Separate written agreements (proposals, statements of work, master services agreements) govern paid professional Services and prevail over these Terms where they conflict. These Terms apply to general website use, enquiries and informational content.
2. Who EduSpark is — and is not
EduSpark is an AI learning-design and content studio. We provide instructional design, curriculum architecture, assessment design, learning experience builds, teacher and trainer enablement, and responsible-AI advisory services to education organizations and corporate L&D teams.
We are not an accredited educational institution. We do not grant degrees, diplomas, credits, certificates or any credential implying government accreditation. We are not a school, college, university or registered private career college.
We do not provide academic dishonesty services. We do not write essays, complete assignments, provide homework help, take exams or produce work intended for submission as a student's or trainee's own.
We do not guarantee outcomes. We do not promise improved grades, test scores, admissions, scholarships, employment, promotions or salary increases. Learning results depend on teaching quality, learner effort, institutional context and factors outside our control.
3. Branding: Spark, .pro and Co
"EduSpark," the spark asterisk motif and related visual identity are trademarks and trade dress of EduSpark Inc. The word "Spark" is used as a metaphor — the moment understanding connects — not as a claim of official status, government endorsement or professional licensure.
The domain edusparkco.pro uses the .pro top-level domain as a branding choice indicating professional services. "Co" in our name and domain is shorthand for "company" and is not a legal entity designation by itself; our legal name is EduSpark Inc. Nothing in our branding implies we are a cooperative, a chartered body or an accredited college.
4. Site content and illustrative materials
Content on the Site — including service descriptions, pricing ranges, timelines, case summaries and metrics — is provided for general information. Unless expressly stated in a signed contract, nothing on the Site constitutes an offer, warranty or binding quote.
Work examples on the Site are anonymised and illustrative. They do not promise that your project will achieve similar results, costs or timelines. Past performance is not indicative of future outcomes.
We strive for accuracy but do not warrant that Site content is complete, current or error-free. We may update content without notice.
5. Permitted use
You may use the Site for lawful purposes aligned with these Terms. You may not:
- Use the Site to request or facilitate academic dishonesty services
- Scrape, crawl or harvest content or data without written permission
- Attempt unauthorized access to servers, forms or administrative areas
- Transmit malware, spam or automated bulk submissions
- Misrepresent affiliation with EduSpark or imply accreditation we do not hold
- Copy, reproduce or exploit Site content for commercial redistribution without consent
We may suspend or block access for conduct that violates these Terms or threatens Site integrity.
6. Enquiries and contact form
Submitting our contact form or emailing us does not create a client relationship or obligate us to accept a project. We reserve the right to decline engagements that conflict with our academic integrity standards, capacity, expertise or legal obligations.
You agree that information you submit is accurate to the best of your knowledge and that you have authority to share any third-party information included in your message. PIPEDA consent is required for form submission as described in our Privacy Policy.
7. Intellectual property
Unless otherwise noted, EduSpark owns copyright in Site text, design, graphics, logos and layout. You receive a limited, non-exclusive, non-transferable licence to view and print pages for personal or internal business evaluation. You may not remove proprietary notices.
Client project intellectual property is allocated in project contracts. Default Site Terms do not transfer ownership of our methodologies, templates or pre-existing materials.
8. AI-assisted services disclaimer
EduSpark uses AI tools to assist drafting in professional Services. AI outputs may be inaccurate, incomplete or biased. Human educator review is required before learner-facing release. The Site describes this human-in-the-loop model; it is not a guarantee that every third-party tool used in a specific project will be error-free.
Clients remain responsible for decisions about deploying materials to learners, including compliance with institutional policies and applicable law.
9. Third-party links and tools
The Site may reference or link to third-party websites, LMS platforms, AI vendors or educational resources. We do not control and are not responsible for third-party content, availability or privacy practices. Your use of third-party services is at your own risk and subject to their terms.
10. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY ONTARIO LAW.
We do not warrant uninterrupted or secure access to the Site. Maintenance, technical failures and unauthorized third-party actions may occur.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUSPARK INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE OR RELIANCE ON SITE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS RELATING TO SITE USE (EXCLUDING LIABILITY THAT CANNOT BE LIMITED BY LAW) SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (C$100) OR THE MINIMUM AMOUNT REQUIRED BY LAW, WHICHEVER IS GREATER.
Limitations in this section do not apply to liability arising from a signed Services agreement, which contains its own limitation and indemnity terms.
12. Indemnity
You agree to indemnify and hold harmless EduSpark Inc. from claims, damages and expenses (including reasonable legal fees) arising from your misuse of the Site, violation of these Terms, infringement of third-party rights, or submission of unlawful or unauthorized content through our forms.
13. Privacy and cookies
Personal information practices are described in our Privacy Policy. Cookie use is described in our Cookie Policy. By using the Site, you acknowledge those policies.
14. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You attorn to the exclusive jurisdiction of the courts located in Toronto, Ontario for disputes arising from Site use, subject to rights that cannot be waived by contract.
Before initiating formal proceedings, parties agree to attempt good-faith resolution by written notice to [email protected] describing the dispute. Either party may proceed to court if resolution is not reached within 30 days.
15. Changes to terms
We may revise these Terms by posting an updated version with a new effective date. Material changes will be highlighted on the Site. Continued use after posting constitutes acceptance. If you disagree with revised Terms, discontinue use of the Site.
16. Severability and entire agreement
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement regarding Site use, superseding prior oral or written understandings on that subject.
